The Competition Commission of India has approved a multi-layered restructuring transaction involving four interconnected entities within the Curefit group — Curefit Healthcare, Cultfit Healthcare, Curefit Services, and Fitness First Luxembourg SCA. The clearance allows the companies to move forward with a complex internal reorganisation aimed at consolidating their fitness, membership, and technology-driven health services under a more streamlined structure.

Curefit Healthcare functions as the group’s core technology and intellectual-property arm, developing IT-enabled platforms and tools that power the company’s fitness and healthcare offerings.

Under the approved transaction, the business responsible for servicing memberships under Cultfit’s CultPass Elite and CultPass Pro categories will be demerged from Cultfit Healthcare and integrated into Curefit Healthcare.

Additionally, the CultPass Elite and CultPass Pro membership subscription business currently housed within Curefit Services will also be merged with Curefit Healthcare.

According to the regulator’s release, this restructuring is designed to place all CultPass-related services and subscriptions within a single unified entity. The move is expected to give Curefit Healthcare clearer operational control over its flagship membership products, bringing together technology development, service delivery, and subscription management.
